Terms of sale

These terms govern the online purchase of a subscription to the Narval software from RETBA AI. The subscription is reserved for businesses buying for the purposes of their activity.

Version of 16 September 2026 · This is a courtesy translation. The French version of this document prevails.

Article 1. Purpose

These terms set out the rights and obligations of RETBA AI and its client on the online purchase of a subscription to the Narval software. They are accepted at payment and, together with the order, form the whole of the contract.

The firm's advisory mandates are governed by a separate, negotiated contract to which these terms do not apply.

The subscription is for businesses only. On subscribing, the client states that it acts for the purposes of its activity and provides, at RETBA AI's request, its company number or its VAT number.

Article 3. Definitions

  • Narval: the narrative-intelligence software published by RETBA AI, reached through a named account.
  • Founding subscription: the twelve-month subscription bought before 30 November 2026, at the rate reserved for first clients.
  • Watched figure: the individual or company whose watch the client requests, up to three per subscription.
  • Client account: the named access opened for the client, with its own credentials.
  • Client: the business, whether an individual or a company, that subscribes for the purposes of its activity.

Article 4. The service

For twelve months and for three watched figures, the subscription includes:

  • access to Narval through a named account, opened within twenty-four working hours of payment;
  • daily watch over the press, social networks, the markets that carry the name, leaks and closed forums, the answers of search engines and AI assistants, and the gap between market value and established facts;
  • alerts qualified by an analyst, with a draft response;
  • a weekly note delivered on Monday;
  • a timestamped and sealed exhibit at every incident;
  • a quarterly account of the incidents handled;
  • an associate reachable by email and, on request, on an encrypted channel.

A fourth figure, and any work beyond this scope, is quoted separately.

Until 30 November 2026, the software is supplied in beta. The items listed above are owed as they stand; functions added along the way reach the client with no commitment as to date.

The service does not cover:

  • producing press content or dealing with newsrooms;
  • running social accounts;
  • deleting data held by third parties or delisting;
  • representation in court;
  • physical security.

Article 5. Order and formation of the contract

The order is placed online, through the payment link on the offer page. The client checks the detail of the order and its price before confirming; confirmation constitutes acceptance of these terms.

The contract is formed when payment is received. RETBA AI acknowledges it by email, with a summary of the order and a copy of these terms.

RETBA AI may decline an order where the service requested would breach the law, its confidentiality undertakings to another client, or its rules of use.

As the subscription is for businesses only, RETBA AI checks that status and may ask for the subscriber's company number or VAT number. An order placed by a consumer is cancelled and refunded in full within fourteen days.

Article 6. Client account and access

The account is opened in the subscriber's name. Credentials are personal and kept safe by the client, who informs RETBA AI without delay of any use they did not authorise.

Each account is partitioned: a client reaches only the data of the names they have placed under watch, and never another client's data or identity.

Article 7. Prices

The founding subscription is €3,500 including tax for twelve months and three watched figures. It is open until 30 November 2026.

From 30 November 2026, the subscription is offered at €19,200 including tax a year. A client who bought at the founding rate keeps it on renewal, for as long as the subscription runs without interruption.

The published price includes French value added tax at 20%, that is €2,916.67 excluding tax and €583.33 of tax, itemised on the invoice.

A taxable person established in another Member State of the European Union who provides a valid VAT number, like a client established outside the Union, receives an invoice without French VAT, reduced to €2,916.67; the difference is refunded where the number is provided after payment.

Article 8. Payment

Payment is made in one instalment by card, Apple Pay or PayPal, through Stripe Payments Europe, Ltd. RETBA AI holds no card data.

The invoice is sent by email once payment is received. On non-payment, access is suspended until the position is regularised; between businesses, statutory late-payment interest and the fixed recovery indemnity of €40 apply by operation of law.

Article 9. Fourteen-day commercial guarantee

The fourteen-day right of withdrawal in the French Consumer Code protects consumers. As the subscription is reserved for businesses buying for the purposes of their activity, it does not apply here.

A business with no more than five employees that subscribed for a purpose outside its main activity keeps the benefit of article L221-3 of the French Consumer Code, which opens the right of withdrawal on the conditions set out in that article.

RETBA AI grants every client a commercial guarantee: a request made within fourteen days of the opening of the account is refunded in full, provided no alert and no exhibit have been delivered. It is exercised by a message to contact@retba.ai, and its terms are set out in the refund policy.

The service starts when the account is opened, which the client requests on subscribing.

Article 10. Refunds

Refund cases, their calculation and their timing are set out in the refund policy, which forms part of these terms.

Article 11. Term, renewal and termination

The subscription runs for twelve months from the opening of the account. It then renews for twelve-month periods at the rate acquired by the client, unless either party gives notice by email at least thirty days before the term.

RETBA AI may terminate for a breach of article 12, after a formal notice left without effect for fifteen days. The client is then refunded for the unexpired period, unless the breach concerns unlawful use of the service.

On termination the account is closed. Exhibits already delivered remain the client's property; RETBA AI keeps a copy for the periods stated in the privacy policy.

Article 12. Client undertakings

The client warrants that it has a legitimate interest in the watch of each name, in particular as the person concerned, their agent, their employer or their counsel.

The client shall not:

  • request the watch of a person for harassment, intimidation or discrimination;
  • use the service to build a file on individuals in breach of the General Data Protection Regulation;
  • publish an exhibit delivered by RETBA AI without checking that it is entitled to;
  • give account access to anyone outside its organisation.

Where the client alone determines the purposes of the processing of data on watched figures, it is the controller under the General Data Protection Regulation, RETBA AI acting as processor under article 17.

A client who subscribes at the founding rate answers, every week, the evaluation questionnaire RETBA AI sends, covering use of the software and the gaps found. That questionnaire is the counterpart of the rate. A missing answer never suspends the service; repeated over more than four weeks, it entitles RETBA AI to renew the subscription at the current rate rather than the founding one.

Article 13. Availability and limits

Narval rests on open sources and on data providers. RETBA AI undertakes to use the means required for continuity of service, without warranting that sources are exhaustive, permanently reachable, or free of interruption.

The beta calls for added tolerance from the client on display faults and on short interruptions tied to updates. RETBA AI fixes them as a priority, and the guarantee in article 9 stays open if the service falls short of what the client expected.

Planned maintenance is announced twenty-four hours ahead where it is expected to last more than an hour.

RETBA AI gives no undertaking as to the decisions of a club, an employer, a bank, a sponsor or a newsroom.

Article 14. Human review and use of deliverables

Watch data is for the client's internal use. It is reviewed by a person before any use, and the client answers for the use it decides to make of it.

Exhibits are drawn up in the form a court or a newsroom expects. Their admissibility depends on the court seised and on the circumstances.

Article 15. Intellectual property

RETBA AI keeps ownership of the software, its components, its analytical models and its document bases. The client receives a personal, non-exclusive, non-transferable right of use for the term of the subscription.

Notes, alerts and exhibits delivered to the client are licensed for its own needs, including to produce them in court or hand them to its counsel.

Article 16. Confidentiality

RETBA AI never names its clients, to the public or to another client. Each party keeps confidential what it learns of the other under the contract, for its term and the five years that follow.

Article 17. Personal data

Processing is described in the privacy policy. Where RETBA AI acts as the client's processor, the undertakings of article 28 of the General Data Protection Regulation apply: documented instructions, confidentiality of staff, security measures, disclosure of sub-processors, assistance with data-subject requests, and return or deletion at the end of the contract.

Article 18. Liability

RETBA AI is liable for proven fault. Its liability is capped, on all grounds together, at the amount excluding tax paid by the client for the twelve months preceding the triggering event.

Indirect loss, loss of opportunity, commercial loss and reputational harm arising from a third party's decision are not compensated. These limits do not apply to wilful misconduct, gross negligence or personal injury.

Article 19. Force majeure

Neither party answers for a failure caused by an event beyond its control within the meaning of article 1218 of the French Civil Code. Where the impediment lasts more than thirty days, either party may terminate by registered letter, the client being refunded pro rata.

Article 20. Changes to these terms

RETBA AI may change these terms for the future. The terms applicable to a subscription are those accepted on the day of purchase; any change is notified thirty days before renewal, and a client who refuses it may give notice at the term.

Article 21. Evidence and archiving

The computerised records of RETBA AI and of its payment provider evidence orders and payments. Contracts and invoices are kept for ten years under the French Commercial Code, and the client may request a copy at contact@retba.ai.

Article 22. Complaints, governing law and jurisdiction

Complaints are addressed to contact@retba.ai. RETBA AI answers within fifteen days.

The parties first seek an amicable solution. Failing agreement within thirty days of the complaint, the contract is governed by French law and any dispute falls within the exclusive jurisdiction of the courts of Paris, including where there are several defendants or a third-party claim.
